Referral Commission Partnership – Terms and Conditions
Innovation and Leadership Conference – Referral Arrangement
1. Introduction and Acceptance
1.1 These Terms and Conditions (“Terms”) govern participation in the Innovation and Leadership Conference Referral Arrangement operated by Techiefy UK, a company registered in England and Wales with its registered office at International House, 61 Mosley Street, Manchester, M2 3HZ (the “Conference Host”, “we”, “us” or “our”).
1.2 By registering for, accessing or participating in the Programme, the Referrer confirms that they have read, understood and agreed to be bound by these Terms. If the Referrer does not agree, they must not participate.
1.3 The Programme is a commission-based referral arrangement. Nothing in these Terms creates an employment, agency, partnership, joint venture or fiduciary relationship between the Conference Host and the Referrer.
2. Definitions
In these Terms, unless the context requires otherwise:
- “Conference” means the Innovation and Leadership Conference scheduled to be held on 14 November 2026 at the venue/platform notified by the Conference Host.
- “Referrer” means an individual or entity that has been accepted into the Programme and issued a Unique Referral Code.
- “Referee” or “Guest” means a person referred by a Referrer who registers for the Conference.
- “Unique Referral Code” means the alphanumeric code assigned exclusively to a Referrer for tracking referrals.
- “Qualifying Referral” means a Referee who satisfies all conditions in Clause 4.
- “Registration Fee” means the amount paid by a Referee to register for the Conference.
- “Transaction Fee” means all fees, charges and deductions imposed by the payment service provider(s) used to process a Referee's payment.
- “Net Registration Amount” means the Registration Fee actually received by the Conference Host less the Transaction Fee.
- “Commission” means the reward payable under Clause 5.
- “Free Pass” means a complimentary standard-tier Conference pass awarded under Clause 6.
- “Business Day” means any day other than a Saturday, Sunday or public holiday in England and Wales.
3. Eligibility and Enrolment
3.1 To join the Programme, the Referrer must be at least 18 years old (or the age of majority in their jurisdiction) and have legal capacity to enter into these Terms.
3.2 The Referrer must complete the enrolment process and provide accurate, current and complete information, including full name, email address, phone number and payout details.
3.3 The Conference Host may accept or reject any application at its sole discretion and may require identity verification before payout.
3.4 Employees, directors, contractors, sponsors and official partners of the Conference Host may participate only with prior written approval.
3.5 Each Referrer is issued one Unique Referral Code. The code is personal and non-transferable, and may not be sold, shared for payment or assigned to any third party.
4. Qualifying Referrals
4.1 A Referee will count as a Qualifying Referral only if all of the following conditions are met:
- (a) the Referee is a new registrant who has not previously registered for the Conference;
- (b) the Referee enters the Referrer's Unique Referral Code at the time of registration, in the field provided;
- (c) the Referee completes paid registration in full, and the payment is successfully received and confirmed by the Conference Host; and
- (d) the registration is not subsequently refunded, cancelled, reversed, charged back or otherwise voided.
4.2 Use of Unique Referral Code. A referral will be attributed to a Referrer only where the Unique Referral Code is applied at registration. Codes may not be added, changed or claimed after registration is completed, and the Conference Host's tracking records shall be final and binding save for manifest error.
4.3 Paid registration required. Free, complimentary, sponsored, discounted-to-zero, invited or unpaid registrations do not qualify.
4.4 Where more than one code is submitted for the same Referee, only the first valid code recorded by the registration system will be credited.
5. Commission
5.1 Subject to these Terms, the Referrer will earn a Commission equal to ten percent (10%) of the Net Registration Amount for each Qualifying Referral.
5.2 The Commission is calculated after deducting the Transaction Fee charged by the payment service provider. By way of illustration only: if a Referee pays £100,000 and the Transaction Fee is £2,000, the Net Registration Amount is £98,000 and the Commission is £9,800.
5.3 The Commission is calculated solely on the Registration Fee actually received. It excludes taxes, add-ons, merchandise, donations or other charges unless stated otherwise by the Conference Host in writing.
5.4 Void on refund or cancellation. If a Referee's registration is refunded, cancelled, reversed, charged back or otherwise voided, whether in whole or in part and at any time, the associated Commission is void and forfeited. If the Commission has already been paid, the Referrer agrees to repay it within 7 days of written notice, and the Conference Host may set it off against any other amount owed to the Referrer.
5.5 No Commission is payable on transactions the Conference Host reasonably believes to be fraudulent, abusive or in breach of these Terms.
5.6 The Referrer is solely responsible for any taxes, levies or declarations arising from Commission received.
6. Free Pass Reward
6.1 A Referrer who achieves a minimum of five (5) Qualifying Referrals will be eligible for one (1) Free Pass to the Conference.
6.2 Only Qualifying Referrals that remain valid (not refunded, cancelled or voided) on the date the Conference Host conducts final verification, being 13 November 2026, the day before the Conference, will count toward the five-referral threshold.
6.3 The Free Pass is: (a) for a standard-tier pass only, unless stated otherwise; (b) personal to the Referrer; (c) non-transferable and non-exchangeable; (d) not redeemable for cash; and (e) subject to availability and the Conference's general terms.
6.4 The Free Pass is awarded in addition to, and does not reduce, the Commission earned.
6.5 If the Referrer's qualifying count falls below five after the Free Pass is issued because of subsequent refunds or cancellations, the Conference Host may revoke the Free Pass.
6.6 The Free Pass does not include travel, accommodation or any item not expressly stated.
7. Payment of Commission
7.1 Commission will be paid three (3) Business Days after the conclusion of the Conference, subject to verification of Qualifying Referrals.
7.2 Payment will be made by bank transfer or another method designated by the Conference Host to the account details provided by the Referrer. The Referrer is responsible for ensuring those details are accurate; the Conference Host is not liable for payments sent to incorrect details supplied by the Referrer.
7.3 The Conference Host may withhold or delay payment where verification, anti-fraud review, tax compliance or regulatory requirements are pending, or where a dispute exists.
7.4 Bank charges on payout, if any, may be deducted from the payment.
7.5 Commission statements will be made available on request or by email after the Conference.
7.6 If the Referrer fails to provide valid payout details within 30 days after the Conference, the Commission may be forfeited.
8. Referrer Conduct and Prohibited Activities
8.1 The Referrer shall promote the Conference honestly, lawfully and in a way that does not damage the reputation of the Conference Host.
8.2 The Referrer shall not:
- (a) make false, misleading or unauthorised claims about the Conference, pricing, speakers or benefits;
- (b) send unsolicited bulk messages or spam, or breach any applicable data protection or electronic communications law;
- (c) use paid advertising on brand terms, impersonate the Conference Host, or create websites or accounts suggesting official affiliation;
- (d) offer rebates, cash or gifts to Referees from Commission in a way that circumvents the Conference Host's pricing;
- (e) generate fake, duplicate or fraudulent registrations; or
- (f) engage in any conduct that is unlawful, defamatory, discriminatory or offensive.
8.3 The Referrer shall disclose their relationship with the Conference Host and that they may earn a Commission where required by law or advertising standards.
8.4 The Referrer has no authority to bind the Conference Host or to make representations or warranties on its behalf.
9. Fraud, Breach and Disqualification
9.1 The Conference Host may, at its sole discretion and without prior notice, suspend or terminate a Referrer's participation, disqualify referrals, withhold Commission and revoke any Free Pass if it reasonably suspects fraud, abuse, manipulation or a breach of these Terms.
9.2 The Referrer shall refund any Commission already paid in respect of disqualified referrals on written demand.
9.3 The Conference Host's determination in respect of eligibility, attribution and disqualification is final, save in cases of manifest error.
10. Data Protection and Privacy
10.1 Each party shall comply with applicable data protection laws, the UK GDPR and the Data Protection Act 2018.
10.2 The Referrer must have a lawful basis, including any required consent, before sharing any personal data of third parties with the Conference Host or using such data for referrals.
10.3 The Conference Host will process Referrer data for the administration, verification and payment of the Programme as described in its Privacy Policy.
10.4 The Referrer shall not access or request Referees' personal or payment data beyond what the Conference Host expressly provides.
11. Intellectual Property and Marketing Materials
11.1 All trademarks, logos, content and materials of the Conference remain the exclusive property of the Conference Host.
11.2 The Conference Host grants the Referrer a limited, revocable, non-exclusive, non-transferable licence to use approved marketing materials solely to promote the Conference under this Programme.
11.3 The Referrer shall not alter the materials or use the Conference Host's marks in any manner not authorised in writing.
12. Confidentiality
The Referrer shall keep confidential any non-public information about the Conference Host, the Conference, pricing, sponsors and Programme operations that is disclosed to them, and shall not use or disclose it except as necessary to perform the Programme.
13. Disclaimers and Limitation of Liability
13.1 The Programme is provided “as is”. The Conference Host makes no guarantee of any minimum number of referrals, earnings or Free Pass.
13.2 To the fullest extent permitted by law, the Conference Host shall not be liable for any indirect, incidental, special or consequential loss, loss of profit, loss of opportunity or reputational harm arising from the Programme.
13.3 The Conference Host's total aggregate liability to a Referrer under or in connection with the Programme shall not exceed the total unpaid Commission properly due to that Referrer.
13.4 The Conference Host is not liable for failures or delays caused by payment processors, banks, technical faults, internet outages or other events beyond its reasonable control.
13.5 Nothing in these Terms excludes liability that cannot lawfully be excluded, including liability for fraud.
14. Indemnity
The Referrer shall indemnify and hold harmless the Conference Host, its directors, officers, employees and affiliates against all claims, losses, liabilities, penalties and reasonable costs (including legal fees) arising from the Referrer's breach of these Terms, unlawful conduct, misrepresentation or infringement of third-party rights.
15. Conference Changes, Postponement or Cancellation
15.1 If the Conference is postponed, rescheduled or moved online, the payment date in Clause 7.1 shall run from the conclusion of the rescheduled Conference, and Qualifying Referrals remain valid unless the Referee is refunded.
15.2 If the Conference is cancelled and Registration Fees are refunded, all Commission and Free Pass entitlements are void and no compensation is payable to the Referrer.
16. Term, Suspension and Termination
16.1 The Programme runs from 29 September 2026 until 14 November 2026 unless extended or ended earlier by the Conference Host.
16.2 Either party may end participation at any time by written notice. Commission on Qualifying Referrals validly earned before termination will remain payable, subject to Clauses 5.4, 7 and 9.
16.3 Clauses 5.4, 8, 9, 10, 12, 13, 14, 17 and 18 survive termination or expiry.
17. Amendments
The Conference Host may amend, suspend or discontinue the Programme or these Terms at any time by publishing the updated Terms or notifying the Referrer. Continued participation after notice constitutes acceptance. Amendments will not affect Commission already validly earned on Qualifying Referrals completed before the change, unless required by law.
18. General Provisions
18.1 Entire agreement. These Terms constitute the entire agreement between the parties regarding the Programme and supersede prior understandings.
18.2 Severability. If any provision is found invalid or unenforceable, the remainder continues in full force.
18.3 No waiver. Failure or delay in enforcing any right is not a waiver of that right.
18.4 Assignment. The Referrer may not assign or transfer any rights or obligations without the Conference Host's written consent. The Conference Host may assign its rights to an affiliate or successor.
18.5 Notices. Notices shall be given in writing by email to the addresses supplied at enrolment (for the Conference Host: ilc@techiefy.co.uk).
18.6 Force majeure. Neither party is liable for delay or failure caused by events beyond its reasonable control.
18.7 Third-party rights. No person other than the parties has any right to enforce these Terms.
19. Governing Law and Dispute Resolution
19.1 These Terms are governed by the laws of England and Wales.
19.2 The parties shall first attempt to resolve any dispute amicably through good-faith negotiation within 14 days of written notice of the dispute.
19.3 Failing resolution, the parties shall attempt to settle the dispute by mediation in Manchester, England. If the dispute is not resolved by mediation within 30 days, the courts of England and Wales shall have exclusive jurisdiction.
